A company secretary is a required officer of every Singapore company. The role supports statutory administration and helps the company meet filing and record-keeping duties. Appointment does not transfer directors’ legal responsibilities: directors remain responsible for the company’s compliance and decisions.

When must a company appoint a secretary?

ACRA states that a company must appoint its secretary within six months after successful registration. The office cannot be vacant for more than six months at any time. Treat the deadline as an incorporation task and record the appointment date so a later departure does not leave the company without a secretary.

Who can be appointed?

The secretary must be a natural person, meet Singapore’s local-residency requirements and must not be the company’s sole director. ACRA includes Singapore citizens, permanent residents, or other persons who meet local-residency rules. A person with a foreign identification number should check with the relevant pass issuer before accepting the appointment.

What does the company secretary do?

The work commonly includes maintaining company information and registers, arranging meetings and recording minutes, reminding directors about annual filing dates, and keeping the company informed about relevant changes. The company’s needs vary with its size, ownership and activities. The secretary may help administer obligations, but directors still need to ensure proper records, act in the company’s interests and file required information on time.

How to appoint or replace the secretary

Use Bizfile to report officer appointments and changes. ACRA says changes to company officers and position holders must generally be filed within 14 days. Before making a change, confirm that the incoming secretary meets the eligibility rules, collect required details and update company records. When a secretary resigns, arrange a replacement promptly so the vacancy does not exceed the permitted period.

A practical compliance checklist

At incorporation, assign someone to track the six-month deadline. Confirm eligibility before accepting an appointment. Keep registers and company contact information current. Calendar annual returns, meetings and other filings. When an officer joins or leaves, update Bizfile within the applicable period and retain the supporting company records.

This summary is general information, not legal advice. Check the current Companies Act and ACRA guidance for the company’s circumstances, particularly if the secretary is also an officer or the company has unusual governance arrangements.
